Terms of Service

1. General provisions

Qerify (the “Platform”) is an online service operated by Damian Walicki, trading as Damian Walicki Consulting, based in Rzeszów (Zbyszewskiego 9 lok. 42, 35-119 Rzeszów), registered in CEIDG (Polish business register), NIP (tax ID) 8133428095, REGON 388123012, connecting clients looking for automation and no-code experts with vetted freelancers, agencies and project teams.

By using the Platform, you accept these Terms in full. If you do not agree with their provisions, please stop using the service.

2. Definitions

• Client - a natural or legal person commissioning an automation project.
• Freelancer - a verified automation specialist offering their services.
• Contract - an agreement for the provision of services concluded through the Platform.
• Milestone - a stage of project delivery with an assigned payment amount.
• Escrow - a secure payment method in which funds are held by the Platform until the milestone is approved.
• AI Concierge - an artificial intelligence tool that matches clients with experts.

3. Registration and user accounts

Registration requires an active email address and a password. Users are responsible for keeping their login details confidential and for all activity carried out from their account.

The Platform reserves the right to suspend or delete any account that breaches these Terms, applicable law or the principles of social coexistence.

4. Payments and Escrow

Payments are processed through Stripe Payments Europe, Ltd. Client funds are held in the Platform’s account (the Escrow mechanism) until the milestone is approved. Once it is approved, the Platform releases the funds to the freelancer after deducting its commission.

The Platform charges a commission of 10% of the net amount of each milestone. VAT at 23% is added to the commission. Example: a milestone of PLN 1,000 net → commission of PLN 100 net + PLN 23 VAT = PLN 123 gross. The freelancer receives PLN 900 net (before any income tax).

4a. Electronic invoices

The Platform issues electronic invoices in the FA(2) format compliant with KSeF (the Polish National e-Invoicing System) and provides JPK-VAT data. Accepting these Terms constitutes consent to invoices being issued and received in electronic form, in accordance with Article 106n(1) of the Polish VAT Act.

4b. Identity verification (KYC)

Before the first payout of accumulated funds, the Freelancer must complete the identity verification procedure (Know Your Customer) carried out by Stripe Payments Europe, Ltd. The Platform is not a party to this procedure and does not process identity documents - they are submitted directly to Stripe.

If the required documents are not provided to Stripe, funds may be withheld in accordance with the Stripe Connect terms. The Platform is not liable for Stripe’s decisions to block payouts.

5. Disputes

In the event of a dispute between a client and a freelancer, either party may report the issue to the Platform administrator. Having reviewed the evidence provided, the administrator may resolve the dispute by refunding the funds to the client or paying them out to the freelancer.

6. Liability

The Platform acts as an intermediary and is not a party to agreements concluded between clients and freelancers. The Platform is not liable for the quality of the services provided, for delays or for any damage arising from the performance of contracts, subject to consumer protection law.

7. Changes to the Terms

The Platform reserves the right to amend these Terms. Users will be notified of any material change by email at least 14 days in advance. Continued use of the Platform after the changes take effect constitutes acceptance of them.

8. Governing law

These Terms are governed by Polish law. Any disputes will be settled by the court having jurisdiction over the Platform’s registered office, unless mandatory provisions of law provide otherwise.
